Dear Sirs,

Please be advised we have executed a contract with MASTERS ENTERPRISES, Inc. , a
Telecommunications Consulting Firm, to act as our Agent in any and all matters relating
to the telecommunications of our Company, (or I personally) has in place.


Although we reserve the right to obtain any and all information directly from any of the
above classified network carriers and to make changes directly with any of the above 
referenced carriers or vendors, we ask that you give full cooperation and compliance
to all requests from MASTERS ENTERPRISES, Inc..  This Letter shall supersede all previous
letters of agency prior to the above date, thereby cancelling their terms and conditions.
This agency shall remain in effect until it is specifically cancelled in writing by us.


By this Letter we do hereby authorize MASTERS ENTERPRISES, Inc. to act as our
communications Agent to:  place service orders, change Network Carriers, 800 service
carriers, to obtain telephone account information, PIC codes, telephone numbers and
service locations, billing data, type of service, class of service number of telephone lines
associated with the account and any other customer information needed (all locations
inclusive).  Lastly, to delegate agency to vendors authorizing them to implement contracted
services, as per our written request to Masters Enterprises, Inc. for such services.
